Learneduco.com (the "Site") is operated by Educo LLC, a New York limited liability company ("Educo," "Company," "we," "us," or "our"). Educo provides test preparation, academic tutoring, and college admissions consulting services (collectively, the "Services"). These Terms of Service ("Terms") govern your access to and use of the Site and the Services, regardless of whether you have an account, whether that account is paid, or whether your access is through a parent, school, or other party.

Please read these Terms carefully before using the Site, registering for the Services, or purchasing any of our products. By using the Site or the Services in any capacity, you agree to these Terms. If you do not agree to these Terms, you may not use the Site or the Services.

Educo reserves the right to modify, revise, or update the Site or these Terms at any time, and you agree to be bound by such modifications. You should periodically review these Terms to stay informed of any changes. Your continued use of the Site or the Services after any modification constitutes your acceptance of the modified Terms.

Part I — General Terms for All Visitors

  1. Use of Site

You may use the Site to obtain information about Educo and the Services, and as a means of purchasing and receiving the Services. Except as expressly permitted herein, you may not reproduce, transmit, disseminate, sell, broadcast, circulate, republish, duplicate, modify, upload, post, re-deliver using "framing" technology, download, or copy any information on the Site (including Educo's course materials, practice questions, lesson plans, or other proprietary content); use data mining, robots, or similar data gathering and extraction tools with respect to the Site; or otherwise distribute or commercially exploit the Site or any portion of its content, in each case without Educo's prior written consent. You may not use any meta tags or any other "hidden text" utilizing Educo's name or trademarks without Educo's prior written consent.


Your rights to use the Site and the Services are personal and non-transferable. You may not sell, assign, convey, or otherwise transfer any of your rights to any third party in any manner whatsoever. Any attempt to do so shall automatically terminate all of your rights to use the Site.


You may download one copy of any material you can access from the Site for your internal personal use only, provided that you do not modify such materials or delete or modify any trademark, copyright, or other proprietary notices. Any unauthorized use of the Site terminates the permission granted by Educo for your use of the Site.


  1. Operation of Site

Educo will use commercially reasonable efforts to keep the Site available on a 24-hour, seven-day-a-week basis, subject to scheduled downtime for maintenance, unscheduled maintenance, and systems outages. However, we do not warrant that access will be uninterrupted or that the Site will be error-free, that defects will be corrected, or that the Site or the servers that make it available are free from viruses or other harmful components.


You are solely responsible for obtaining the telecommunications access and equipment necessary to access the Site, and for any fees (such as internet service provider charges) relating to such access.


  1. Proprietary Rights

Unless otherwise indicated, all content on the Site — including course materials, practice questions, lesson plans, tests, designs, articles and text, graphics, logos, button icons, images, data compilations, software, video or audio clips, and the overall "look and feel" of the Site — and any improvements, modifications, or derivative works based on such content, are proprietary to and copyrighted by Educo or its licensors, and are protected by applicable intellectual property laws. The collection, arrangement, and assembly of content on the Site are the exclusive property of Educo.


Educo uses certain official practice tests and other copyrighted preparation materials owned by third parties, including the College Board and ACT, Inc., under applicable licensing arrangements or fair use principles, strictly for educational purposes. These materials are provided solely for the student's personal study and may not be shared, distributed, or reproduced. Educo reserves the right to revoke access to digital or physical materials if this policy is violated.


  1. Links to Third-Party Sites

The Site may display links to other websites to provide you with useful information. Educo is not responsible for the contents of any linked site or any link contained in a linked site. The display of any link does not imply endorsement by Educo. IN NO EVENT WILL EDUCO BE LIABLE, DIRECTLY OR INDIRECTLY, TO ANYONE FOR ANY DAMAGE OR LOSS ARISING FROM OR RELATING TO THE USE OF OR RELIANCE ON ANY LINKED THIRD-PARTY SITE.


  1. Hyperlinks to the Site

You may create a hyperlink to the homepage of the Site only so long as the link does not portray Educo or its Services in a false, misleading, derogatory, or otherwise offensive manner. Linking to other content within the Site is prohibited without Educo's prior written consent. Please direct any linking requests to hello@learneduco.com.

In compliance with the Children's Online Privacy Protection Act ("COPPA"), Educo does not permit children under 13 years of age to become users without verifiable parental or guardian consent. By using the Site, you represent that you are not under 13 years of age, or that your parent or legal guardian has provided verifiable consent on your behalf. Please see our Privacy Policy for additional information about how we handle information relating to children.

THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS CONTAINED IN OR DESCRIBED ON THE SITE (INCLUDING BUT NOT LIMITED TO COURSE MATERIALS, PRACTICE TESTS, TUTORING SESSIONS, ADMISSIONS CONSULTING, OTHER TEXT, GRAPHICS, VIDEO AND AUDIO CLIPS, AND LINKS) ARE PROVIDED BY EDUCO "AS IS" AND "AS AVAILABLE." EDUCO WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITE OR THE SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, AND CONSEQUENTIAL DAMAGES, EVEN IF EDUCO HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE, OR ANY OTHER THEORY, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE SITE OR THE SERVICES.


WITHOUT LIMITING THE FOREGOING, EDUCO SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, REJECTION, RESCINDMENT, DEFERRAL, ACADEMIC PROBATION, LOSS OF SCHOLARSHIPS, TITLES, AWARDS, PRIZES, GRANTS, OR POSITIONS, LAWSUITS, SUSPENSION, OR ANY OTHER DISCIPLINARY OR LEGAL ACTIONS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.


BY PURCHASING THE SERVICES, YOU AGREE TO LIMIT ALL CLAIMS AGAINST EDUCO TO A MAXIMUM AMOUNT EQUAL TO THE ACTUAL FUNDS PAID BY YOU DIRECTLY TO EDUCO FOR THE SERVICES GIVING RISE TO THE CLAIM.


  1. Indemnification

You agree to defend, indemnify, and hold harmless Educo and its managers, members, employees, contractors, agents, representatives, affiliates, and subsidiaries (the "Educo Parties") from and against any claim, suit, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, your violation of these Terms, your violation of any rights of a third party, or any other act or omission by you.


You agree that your interaction with the Site and Services is solely with Educo LLC and not with its managers, members, employees, or contractors directly, and you release all parties other than Educo LLC from lawsuits and other disputes arising from your use of the Site or Services.


  1. Test Scores and Submissions

If you provide Educo with test scores, you: (i) represent and warrant that such scores are accurate; (ii) agree that Educo may use such scores in any legally permissible manner (and in compliance with our Privacy Policy), including for advertising and promotional purposes or for the further development of any Educo product or service, without any duty or obligation to compensate you; and (iii) agree to accept all liability resulting from your provision of any inaccurate or incorrect scores.


All remarks, suggestions, ideas, graphics, testimonials, or other information provided by you through the Site or to Educo (collectively, "Submissions") will be the property of Educo. Educo will not be required to treat any Submission as confidential and will not be liable for any ideas for its business (including without limitation product or advertising ideas) and will not incur any liability as a result of any similarities that may appear in future Educo operations. Educo will have exclusive ownership of all present and future rights to any Submission and may use the Submission for any commercial or other purpose without compensation to you.


  1. Usage of Statements and Images

You agree that Educo may use statements you provide about Educo, its packages, or its personnel, along with public pictures of you from the Internet, in marketing materials. If you wish Educo to remove any such information from future publications, please send an email to hello@learneduco.com.


  1. Accounts and Passwords

If you register for the Services, you will have an account and password. Access to password-protected portions of the Site is available only so long as you have paid all required fees to Educo. You are responsible for maintaining the confidentiality of your account and password and for restricting access to anyone other than yourself. You agree to accept responsibility for all activities that occur under your account or password. Educo reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.


Educo personnel will never ask you to divulge your password in written or electronic communications or over the phone. If you suspect unauthorized access to your account, it is your responsibility to contact Educo immediately.

Part II — Tutoring Services Terms

  1. Tutor Assignment

Educo will match the student with a tutor based on an initial consultation, availability, subject expertise, and the student's learning preferences or needs. Tutor assignments may change at Educo's discretion to ensure the highest quality of service. Clients may request a tutor change at any time. If a tutor change is made, any refunds or credits for hours completed with the previous tutor are not guaranteed and will only be issued if agreed upon in writing between Educo and the client.


14. Scheduling and Confirmation

Sessions are scheduled through Educo's scheduling system (such as Calendly, Cal.com, and app.learneduco.com), email, or text. A session is confirmed once an Educo tutor or consultant sends written confirmation. A session is not confirmed at the request of a client and must be confirmed in writing by tutor to align with Educo's cancellation policy. All parties reserve the right to reschedule sessions in the event of illness, emergencies, or other unforeseen circumstances.


  1. Attendance and Cancellation Policy

Cancellation Policy. If the client or student wishes to cancel or reschedule a scheduled tutoring session, the client must provide the tutor with at least 24 hours' prior notice. If the client does not provide the required notice, the client will be charged for the full duration of the session, whether or not the student is present.


Late Policy. Parties will wait at most 15 minutes from the scheduled start time. If the student is late, the session will still end at the scheduled time. If the tutor is late, Educo will make up the lost time or issue an equivalent credit.


No-Show Policy. Arriving 15 or more minutes late without prior notice will be considered a no-show. No-shows are charged in full and the session will not be rescheduled or credited.


Tutor Cancellations. If Educo cancels or reschedules a tutoring session within 24 hours of the scheduled start time, the client will receive additional tutoring time equal to the missed session (or a pro-rated equivalent) added to a future session at no additional cost.


  1. Payment Terms

Invoice and Due Date. An invoice will be issued upon enrollment. Payment is due by the first scheduled tutoring session. All sessions must be pre-paid.


Amount and Package. The total amount due will correspond to the selected tutoring package, as itemized on the invoice.


Payment Methods. Payments can be made via the secure online payment link (Stripe) provided in the invoice, or through any other approved method listed therein.


Late Payments. If payment is not received by the due date, Educo reserves the right to pause tutoring sessions until payment is made.


  1. Refund Policy

All payments made to Educo for Tutoring Services are non-refundable except as expressly stated in these Terms or in a separately signed Score Guarantee. By purchasing a tutoring package or session, the client acknowledges and agrees to the following:

  • Completed Sessions. No refunds (outside of an applicable Score Guarantee) will be issued for any tutoring sessions that have been completed, whether or not the student attended in full.

  • Prepaid Packages. Unused hours cannot be exchanged for cash without Educo's written approval.

  • Package Expiration. There is no expiration window for pre-purchased sessions.

  • Transfer Option. As a courtesy, unused prepaid hours may be transferred within one year of purchase:

    • To another student (such as a friend or family member), provided the transfer is requested in writing by the client and approved by Educo.

    • To another Educo service (such as college admissions consulting) at a pro-rated hourly rate determined by Educo at the time of transfer.


  1. Score Guarantee

Educo may offer a score improvement guarantee in connection with certain tutoring packages. Any such guarantee is set forth in the client's signed Tutoring Services Agreement and is subject to the specific terms therein, including without limitation the test dates, score targets, participation requirements, and remedy. Below is a summary of the standard ACT Score Guarantee; the specific terms applicable to a client's package are those set forth in the client's signed agreement.


Standard Score Guarantee (Summary). Educo guarantees that an eligible student will achieve an appropriate, composite score within two official test dates from the start of tutoring, provided the student meets all program participation requirements. This score is to be determined after consultation with both an educational consultant and the family's primary tutor. This score guarantee will be communicated prior to the signing of any package operating under a guarantee.


Program Structure and Timeline. Typically, the student will take up to two official exams from the eligible dates identified in the client's Tutoring Services Agreement. If the guaranteed score is not achieved by the second exam, the student will be upgraded, at no additional cost, to Educo's most comprehensive and aggressive tutoring plan, which includes unlimited complimentary tutoring until the score goal is met.


Final Guarantee. If, after the third official exam, the guaranteed score has not been achieved, Educo will refund the entire program fee within 30 days.


Participation Requirements. To qualify for the Score Guarantee, the student must:

  • Attend 90% of all scheduled tutoring sessions.

  • Make a reasonable, good-faith effort to complete assigned homework, practice tests, and drills.

  • Sit for each of the agreed-upon official ACT test dates.

  • Maintain regular communication with Educo and provide official score reports promptly after each exam.


We recognize that life can be unpredictable. Missing the occasional assignment or session will not automatically void the guarantee, provided there is good-faith participation in the program.


The Score Guarantee is personal to the enrolled student, is non-transferable, and is available only to clients who purchased a tutoring package directly from Educo at full price (discounted, promotional, or school-arranged packages may not qualify unless expressly stated in writing). At most one refund under the Score Guarantee will be provided per household, account, student, or score report.

Part III — College Admissions Consulting Terms

The terms in this Part III apply to Educo's college admissions consulting services ("Admissions Services"), and apply in addition to the General Terms in Part I. In the event of any explicit conflict between Part I and Part III that cannot be reconciled, Part III shall control with respect to Admissions Services.


  1. Application Definitions

For most colleges and universities in the United States, one "application" equals one school. However, applying to certain special programs — including but not limited to BS/MD programs, honors colleges, and fine arts programs requiring portfolio preparation — will be considered as multiple applications. These and other special programs will usually count as one application for the main university plus another application for the program-specific supplemental material.


We strongly recommend speaking with an Educo advisor about any special program you are considering before purchasing an admissions package so we can confirm how many "applications" of your package a particular program will account for. Educo reserves the right to determine the number of applications based on schools and programs after purchase, based on the expert opinion of the assigned admissions consultant.


  1. Admissions Services Refund Policy

Full Refund Window. If you are not satisfied with your Admissions Services for any reason, you may receive a full refund within three (3) days of your first consulting session. This paragraph is referred to on our Site as the "Risk-Free Trial" or "100% Refund Policy."


Partial Refund Window. Between three (3) days and seven (7) days after your initial call with your consultant, you may receive a partial refund. Hours your consultant has already worked with you will be deducted from the refund at the rate of $200 per hour.


No Refunds After 7 Days. After seven (7) days from your initial consulting session, refunds are not available in full or in any portion.


Time Qualifications. For refund purposes, all time and dates are measured in U.S. Eastern Time. The first day after an initial consultation is defined to end at 11:59 PM ET on the day of the consultation. Time is measured starting the moment your initial consultation call ends (e.g., phone hang-up, video call end). Time is measured until your request is received by Educo at hello@learneduco.com, as timestamped by our email servers. Delivery by other means or to other recipients does not qualify, including email sent directly to your admissions consultant.


Pay-Over-Time Programs. If you choose to finance your Admissions Services with a payment plan, you are only eligible for a refund of the principal amount that has been financed. A customer on a Pay-Over-Time Program is defined as any customer for whom the credit card is not fully charged by the start of the first session. Splitting charges into monthly fees, deferred payment, or similar arrangements are all Pay-Over-Time Programs.


Submission of Request. Refund requests must be received within 360 days of when the Admissions Services were paid for. The request must contain the email address associated with the account as well as a payee name and address. The refund will be issued via credit card, PayPal, or check (United States addresses only) at Educo's discretion within 60 days of receipt of the request.


  1. Length of Service

All Admissions Services must be used within 12 months of enrollment, unless you defer your service to the following admissions season for a deferral fee of $850 unless otherwise specified in a pricing agreement. Grade 9–11 mentorship programs, if offered, run from April 1 through March 31 of the following year.


  1. Plagiarism and Ethical Use

Educo does not condone or knowingly take part in plagiarism or any other acts of academic fraud. Neither Educo nor its employees or contractors shall be liable for any illegal, unethical, or otherwise wrongful use of essays, drafts, or other materials produced with Educo's assistance. This includes any resulting rejection, rescindment, deferral, academic probation, loss of scholarships, titles, awards, prizes, grants, or positions, lawsuits, suspension, or any other disciplinary or legal actions. Clients are solely responsible for any and all consequences arising from the improper, unethical, inappropriate, or illegal use of materials produced in connection with the Admissions Services.


Educo makes no guarantee regarding admission to any particular college, university, or program.

Part IV — General Provisions

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without giving effect to any principles of conflicts of laws. If you use the Site from other locations, you are responsible for compliance with applicable local laws.


Good-Faith Negotiation. Before initiating any legal action, both parties agree to first attempt to resolve any disputes arising from these Terms through good-faith discussions.


Mediation. If a resolution cannot be reached within 30 days of written notice of the dispute, the parties agree to participate in mediation with a mutually agreed-upon neutral mediator located in New York County, New York. Each party will bear its own costs for mediation unless otherwise agreed in writing.


Litigation. If mediation does not resolve the matter, either party may pursue legal action exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.


One-Year Limitations Period. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site, the Services, or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.


  1. Entire Agreement

These Terms, together with Educo's Privacy Policy and any signed Tutoring Services Agreement or other written agreement between you and Educo, constitute the entire agreement between you and Educo and govern your use of the Site and the Services, superseding any prior agreements between you and Educo. In the event of a conflict between these Terms and a separately signed written agreement, the separately signed written agreement shall control.


  1. Waiver and Severability

The failure of Educo to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in such provision, and the other provisions of these Terms shall remain in full force and effect.


  1. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without Educo's prior written consent. Educo may assign these Terms, in whole or in part, at its sole discretion.
